Terms of Service
1. Definitions
"Service" means the MARZ cloud platform for runtime configuration management of Java applications, accessible at mymarz.com and any associated APIs, dashboards, or tools.
"Customer" means the entity or individual agreeing to these Terms by creating an account or executing an Order Form.
"Authorized Users" means individuals the Customer permits to access the Service under its account.
"Customer Data" means all data submitted by Customer or its Authorized Users to the Service, including Configuration Data.
"Configuration Data" means runtime variable states, annotations, labels, audit logs, RBAC configurations, and metadata managed through the Service.
"Subscription Term" means the period during which Customer has paid access to the Service, as specified in the applicable Order Form or pricing page.
"Open-Source Library" means the MARZ annotation library for Java/Spring (the
@Marz annotation and related components), which is separately licensed under the
Apache License 2.0 and is not governed by these Terms.
2. Service description and license grant
MARZ grants Customer a non-exclusive, non-transferable, worldwide right to access and use the Service during the Subscription Term, solely for Customer's internal business operations, subject to the usage limits of the applicable subscription tier.
The Open-Source Library is separately licensed under the Apache License 2.0. These Terms do not apply to the Open-Source Library, and use of the Open-Source Library does not require acceptance of these Terms.
The Service may integrate with the Open-Source Library deployed in Customer's applications. Such integration does not expand or modify the rights granted under either license.
3. Customer obligations
Customer shall: (a) maintain the confidentiality of all account credentials and immediately notify MARZ of any unauthorized access; (b) ensure all Authorized Users comply with these Terms; (c) not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service (this restriction does not apply to the Open-Source Library); (d) not use the Service for any purpose that violates applicable law or regulation; (e) not exceed the usage limits of the applicable subscription tier; (f) not use the Service to store, process, or transmit any data that Customer does not have the right to use; (g) not interfere with the security, integrity, or performance of the Service.
4. Fees and payment
Customer shall pay all fees specified in the applicable Order Form or as displayed on the pricing page at mymarz.com/pricing at the time of subscription. All fees are quoted in US Dollars unless otherwise specified and are non-refundable except as expressly stated. Payment is due in advance for each billing period. MARZ may modify pricing with 30 days' written notice; changes take effect at the next renewal period. Overdue amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. MARZ may suspend access if payment is overdue by more than 15 days, after providing at least 5 days' written notice.
5. Data ownership and processing
Customer retains all rights, title, and interest in and to Customer Data. MARZ receives a limited, non-exclusive license to process Customer Data solely as necessary to provide, maintain, and improve the Service, and to comply with applicable law. MARZ shall not access Customer Data except as necessary to: (a) deliver the Service; (b) prevent fraud or address security issues; (c) provide customer support when requested; or (d) comply with applicable law. MARZ may collect and use aggregated, anonymized data for product improvement and analytics. Upon termination, MARZ will make Customer Data available for export for 30 days, then delete within 60 days.
6. Service level agreement
MARZ targets 99.9% monthly uptime for Business and Enterprise tier customers.

Downtime excludes: scheduled maintenance (announced 48 hours in advance), force majeure events, Customer's own system failures, and beta features. Credits are requested via [email protected] within 30 days and are applied to future invoices. Maximum credit: 30% of monthly fees. Community and Team tiers do not include uptime commitments.
7. Security
MARZ maintains industry-standard safeguards including: TLS 1.2+ encryption in transit, AES-256 encryption at rest, role-based access controls, audit logging, regular vulnerability scanning, annual penetration testing, and incident response procedures. MARZ will notify Customer of any confirmed Security Breach within 72 hours.
8. Confidentiality
Each party agrees to protect the other's Confidential Information using at least the same degree of care it uses for its own, but no less than reasonable care. Exclusions: publicly available information, already known information, independently developed information, and lawfully received information.
9. Intellectual property
MARZ retains all rights to the Service. Customer retains all rights to Customer Data. Neither party acquires rights to the other's IP except as expressly granted. Customer grants MARZ a perpetual, royalty-free license to use feedback for any purpose.
10. Limitation of liability
Neither party's aggregate liability shall exceed the total amounts paid by Customer in the 12 months preceding the claim. Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages. Exceptions: breach of confidentiality, indemnification obligations, payment obligations, and willful misconduct.
11. Indemnification
MARZ indemnifies Customer against third-party IP infringement claims related to the Service. Customer indemnifies MARZ against claims arising from Customer Data or Customer's violations. Standard notice and cooperation requirements apply.
12. Term and termination
Subscriptions auto-renew unless 30 days' notice is given. Either party may terminate for uncured material breach after 30 days' written notice. MARZ may suspend access immediately for security violations. Upon termination: access ceases, data export available for 30 days, outstanding fees become due, and Sections 5, 8, 9, 10, 11, and 13 survive.
13. Governing law and dispute resolution
Governed by Ontario, Canada law. Disputes: 30-day good-faith negotiation, then binding arbitration under ADR Institute of Canada rules in Toronto. Either party may seek injunctive relief in any court of competent jurisdiction.
14. General provisions
Entire agreement; amendments with 30 days' notice; no waiver without writing; severability; no assignment without consent (except mergers); written notices; force majeure.
